At the extraordinary general meeting of Multi Group Plc (“Multi” or “Company”) held today, all of the resolutions proposed were passed.
Conditional, inter alia, upon admission of the Company’s consolidated 10p Ordinary Shares to trading, as described below, the Company will complete the acquisition of 99.97 per cent. of the issued share capital of Dream Group Limited and Darren Browne, Tony Rogers, Miles Davis, Bob Morton and John Foley will be appointed directors of the Company, with Oliver Cooke, Janet Barn and David Marks resigning as directors.
The Company’s ordinary shares are being consolidated, with every 100 existing shares becoming 1 new share. Accordingly, the Company’s existing ordinary shares of 0.1 pence each will be cancelled from trading on AIM with effect from close of business today and the newly consolidated ordinary shares of 10 pence each (“10p Ordinary Shares”) will be admitted to trading with effect from 8 June 2007, under the Company’s new name, Servoca Plc.
Upon re-admission, the Company will have 40,906,670 10p Ordinary Shares in issue, will trade under symbol SVCA and the 10p Ordinary Shares will have ISIN number GB00B1XHM086.
Shareholders are reminded that the annual general meeting of the Company will be held on 14 June 2007 and proxy forms in relation to the resolutions to be proposed at this meeting must be received by no later than 12 June 2007. |
